Explanation of Responses:
1. This transaction represents the conversion of a derivative security to a non-derivative security and an acquisition of shares of common stock of the Issuer. The derivative security was previously reported in Table I (Non-Derivative Securities Acquired, Disposed of, or Beneficially Owned) section of the Form 4s filed by Mr. Krebs. On July 21, 2005, Tsalix Investment Inc., of which Mr. Krebs is the controlling shareholder, exchanged 1,250,000 Exchangeable Shares. Each Exchangeable Share was exchangeable for one share of common stock of the Issuer at no additional consideration at any time at the option of the shareholder, and was to be exchanged no later than July 1, 2009, and was entitled to the same voting, dividend and other rights as one share of common stock of the Issuer.
