Item 8.01 Other Events

On March 6, 2006, Peoples Energy Corporation issued a press release announcing that the Illinois Commerce Commission ("ICC") voted to approve an amended settlement agreement related to its utilities’ gas charge reconciliation proceedings for fiscal years 2000 through 2004. As a result of the amendments made to the settlement agreement, Peoples Energy Corporation expects to record a $10.7 million pre-tax settlement charge in its fiscal second quarter, which is in addition to the $105 million recorded in the fiscal first quarter ended December 31, 2005. The ICC is expected to issue a final written order approving the settlement at a meeting scheduled for March 22, which will also specify the allocation of gas charge refunds to be paid to utility customers by The Peoples Gas Light and Coke Company and North Shore Gas Company and the method and timing for the refund payments.
