Brown's indirect beneficial ownership consists of 1089144 Alberta Ltd.'s ownership of 1,925,000 shares of Deep Well Oil & Gas, Inc.'s common stock. 1089144 Alberta Ltd. is a private corporation registered in Alberta, Canada, and is 50% owned by Elissa A. Brown, and 50% owned by Elissa A. Brown's sister, Cassandra D. Brown. Elissa A. Brown is the daughter of Deep Well Oil & Gas, Inc.'s Chief Operating Officer, John F. Brown. Elissa A. Brown is of majority age and does not live in the same household as her father, John F. Brown.
