Note 8 — Goodwill and Other Intangibles

Goodwill

We perform our annual goodwill impairment review on March 1st of each fiscal year or earlier if events occur that indicate an impairment could exist. During the three months ended November 30, 2011, no events occurred that indicated our goodwill might be impaired.

The following table reflects the changes in the carrying value of goodwill by segment from August 31, 2011, to November 30, 2011 (in thousands):

The measurement period for purchase price allocations ends as soon as information on the facts and circumstances becomes available but will not exceed 12 months. Adjustments in the purchase price allocation may require a recasting of the amounts allocated to goodwill retroactive to the period in which the acquisition occurred.  We had tax-deductible goodwill of approximately $62.0 million and $65.8 million at November 30, 2011, and August 31, 2011, respectively. The difference between the carrying value of goodwill and the amount deductible for taxes is primarily due to the amortization of goodwill allowable for tax purposes.
